Terms of Service

1. Agreement to Terms

By accessing and using the services provided by Sofia1990 LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Sofia1990 LLC provides software development, consulting, and related technology services. Our services include but are not limited to:

• Custom software development and engineering
• Mobile application development (iOS, Android, cross-platform)
• Web application development and design
• Cloud infrastructure and DevOps services
• API development and integration
• Data analytics and business intelligence solutions
• Technical consulting and advisory services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information necessary for project execution
• Respond promptly to requests for feedback, approvals, or decisions
• Ensure you have the legal right to use any materials, data, or content you provide
• Comply with all applicable laws and regulations
• Make timely payments as specified in your service agreement

4. Intellectual Property Rights

Unless otherwise specified in a written agreement:

• All work product, code, designs, and deliverables created specifically for you will be transferred to you upon full payment, subject to our retention of rights to general methodologies and pre-existing intellectual property
• We retain rights to any pre-existing tools, frameworks, libraries, or general methodologies used in delivering services
• You grant us a limited license to use your name and logo for marketing purposes unless otherwise agreed

5. Payment Terms

Payment terms will be specified in your individual service agreement. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for accounts with overdue balances
• All fees are non-refundable unless otherwise stated in writing

6. Project Scope and Changes

Project scope will be defined in a written statement of work or service agreement. Changes to scope may result in additional time and costs. We will provide estimates for any requested changes before implementation.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee that our services will be error-free or uninterrupted. EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Confidentiality

We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or as necessary to perform our services.

10. Termination

Either party may terminate a service agreement with written notice. Upon termination, you will pay for all services rendered up to the termination date. We may terminate services immediately for non-payment or breach of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Armenia, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Yerevan, Armenia.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing clients. Continued use of our services after changes constitutes acceptance of the modified Terms.
